Rafael has over 10 years of practice in Capital Markets and Corporate Law, having assisted clients in over ten global offerings of shares (IPOs/follow-on), and in more than 40 local and international fixed income issuances (bonds, debentures, and commercial papers). He also has solid experience in handling private capital increases for publicly-held companies, and renegotiation of debenture issuances, structured finance, project finance, syndicated loans, and matters related to securities regulation. Rafael has worked as an international associate in the Corporate/Latin America practice group for Simpson Thacher & Bartlett LLP, in New York, assisting in merger and acquisition transactions, and public offerings of shares and bonds of Latin American companies, as well as in compliance matters, and in a litigation before the Supreme Court of New York involving Brazilian companies. Rafael has also participated in the revision in the public hearing phase of normative instructions of the Brazilian Securities and Exchange Commission (CVM), and in the preparation of comments and suggestions alongside institutions such as ABRASCA (Brazilian Association of Publicly-Held Companies), ABBI (Brazilian Association of International Banks), and ANBIMA (Brazilian Financial and Capital Markets Association). Rafael has collaborated on the draft of ABRASCA’s Self-Regulation Code and Best Practices for Publicly-Held Companies.
